  37. MULTIPLAY TEN SOFTWARE LICENCE AGREEMENT

  39. IMPORTANT: YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS 
  40. BEFORE PROCEEDING WITH THIS PROGRAM. DOING SO INDICATES YOUR ACCEPTANCE 
  41. OF THESE TERMS AND CONDITIONS.  IF YOU DO NOT AGREE WITH THESE TERMS AND 
  42. CONDITIONS, YOU SHOULD PROMPTLY EXIT THE PROGRAM.

  44. T E Network, Inc. ("TEN"), the owner of this software program (the "Program"), 
  45. and Multiplay Online Pty Ltd ("Multiplay"), the exclusive licensor of this 
  46. software program in Australia, grants to you a non-exclusive licence to use 
  47. the Program and its related documentation (the "Documentation") only under 
  48. the following terms and conditions.

  50. LICENCE -- what you can do with the Program
  51.  
  52. YOU MAY:
  53. -Use the Program solely for accessing the Multiplay Total Entertainment Network 
  54.  (the "Multiplay TEN Service");
  55. -Copy the Program for backup purposes in support of your use of the Program in 
  56.  accordance with this Agreement;
  57. -Copy and install the Program on more than one computer, or physically transfer 
  58.  the Program from one computer to another; and
  59. -Transfer all of your rights in the Program under this Agreement to another 
  60.  person, provided the other person agrees to accept the terms and conditions
  61.  of this Agreement.

  63. YOU MAY NOT USE, COPY, MODIFY, OR TRANSFER THE PROGRAM OR DOCUMENTATION, 
  64. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT.  YOU MUST REPRODUCE AND INCLUDE 
  65. THE COPYRIGHT NOTICE ON ANY COPY OF THE PROGRAM OR DOCUMENTATION.

  67. The Program contains copyrighted material, trade secrets and other proprietary 
  68. material.  You agree that except as permitted by applicable legislation, you will 
  69. not decompile, reverse engineer, disassemble or otherwise reduce the Program to a 
  70. human perceivable form.
  71.  
  72. TERM.  This Agreement is effective until terminated.  You may terminate it at any 
  73. time by destroying all copies of the Program and the Documentation. Multiplay TEN 
  74. may terminate your licence at any time if you breach any of the terms of this 
  75. Agreement or if any of the representations you make in this Agreement turn out to 
  76. be false. Upon such termination, you must destroy all copies of the Program and 
  77. the Documentation.  If you accept a Multiplay TEN Online Customer Licence and 
  78. Membership Agreement ("Online Agreement"), then the licence in the Online Agreement 
  79. shall supersede and replace this Agreement.
  80.  
  81. LIMITED WARRANTY; LIMITATION OF REMEDIES.  THE PROGRAM AND DOCUMENTATION ARE 
  82. PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, 
  83. BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  84. PARTICULAR PURPOSE.  THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PROGRAM 
  85. AND DOCUMENTATION IS WITH YOU.  SHOULD THE PROGRAM PROVE DEFECTIVE, YOU ASSUME THE 
  86. ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.  MULTIPLAY TEN DOES NOT 
  87. WARRANT THAT THE FUNCTIONS CONTAINED IN THE PROGRAM WILL MEET YOUR REQUIREMENTS OR 
  88. THAT THE OPERATION OF THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE.

  90. IN NO EVENT WILL MULTIPLAY TEN BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING BUT NOT 
  91. LIMITED TO ANY LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL OR CONSEQUENTIAL 
  92. DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAM, EVEN IF MULTIPLAY 
  93. TEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY 
  94. OTHER PARTY.
  95.  
  96. Some states do not allow the exclusion of implied warranties or the limitation 
  97. or exclusion of liability for incidental or consequential damages, so the above 
  98. exclusions may not apply to you.
  99.  
  100. GENERAL
  101. You may not sublicence, assign or transfer the licence or the Program except as 
  102. expressly provided in this Agreement.  Any attempt otherwise to sublicence, assign 
  103. or transfer any of the rights, duties or obligations under this Agreement is void.
  104.  
  105. This Agreement will be governed by the laws of the State of New South Wales.
  106.  
  107. YOUR USE OF THIS PROGRAM ACKNOWLEDGES THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND 
  108. IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.  YOU FURTHER AGREE THAT, 
  109. TOGETHER WITH ANY OTHER LICENCE AGREEMENT BETWEEN US CONCERNING YOUR USE OF THE 
  110. PROGRAM, IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US 
  111. WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT (OTHER THAN AN ONLINE AGREEMENT), 
  112. ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT 
  113. MATTER HEREOF.
